Software license — Slab

Legal entity: Brickspace Lab Inc. (“Brickspace Lab”, “Licensor”)
Product: Slab — a Shopify Online Store theme and related updates, documentation, and support offerings made available by Brickspace Lab (“Slab”).
This Software License Agreement (“Agreement”) is between Brickspace Lab and you (“Licensee”). It governs your license to install and use Slab subject to Shopify’s platform rules and your purchase terms.
By purchasing, downloading, installing, or using Slab, you agree to this Agreement. If you use Slab on behalf of an organization, you bind that organization.
1. License grant
Subject to payment of applicable fees (where required) and ongoing compliance with this Agreement and Shopify’s terms:
1.1 Limited license. Licensor grants Licensee a non-exclusive, non-transferable, revocable license to use Slab only in object code form for a single Shopify store (or the number of stores expressly stated at purchase) that Licensee owns or lawfully operates.
1.2 Updates. Licensor may provide updates, patches, or new versions. Unless stated otherwise, they are licensed under this Agreement and may replace earlier versions.
1.3 Documentation. Licensee may reproduce reasonable portions of documentation solely for internal use in connection with Slab.
2. Restrictions
Licensee must not:
copy Slab except as necessary for installation and backup on Licensee’s systems;
reverse engineer, decompile, disassemble, or attempt to derive source code from Slab, except where mandatory law permits;
circumvent technical limits, licensing checks, or entitlement mechanisms;
rent, lease, sublicense, sell, redistribute, or transfer Slab or rights under this Agreement except as Shopify’s Theme Store or partner policies expressly allow (for example, legitimate assignment when transferring a store);
use Slab to build a competing theme marketplace or to train machine learning models on Licensor’s proprietary assets without written consent;
remove or alter proprietary notices or branding embedded in Slab by Licensor;
use Slab in violation of law, Shopify policies, or Licensor’s Acceptable use policy.
3. Shopify dependency
Slab operates within Shopify’s Online Store environment. Licensee’s use of Shopify is governed by Shopify’s terms. Licensor does not control Shopify and is not responsible for Shopify APIs, checkout, availability, or policy changes.
4. Ownership
4.1 Licensor IP. Slab, including code, designs (excluding Licensee content), preset configurations shipped with Slab as Licensor assets, documentation, trademarks, and updates, is owned by Licensor or its licensors.
4.2 Licensee content and configurations. Licensee retains ownership of Licensee’s own storefront content, products, media, and merchant-specific settings entered through Slab or Shopify’s editor. Licensee grants Licensor a limited license to process such content only as needed to provide the Services.
4.3 Presets and customizations. Configurations, JSON or theme settings, and merchant-created presets built using Slab’s intended customization tools remain Licensee’s responsibility as to content; they do not grant Licensee ownership of Slab’s underlying software or Licensor’s stock preset library assets. Licensee may not claim ownership of Licensor’s codebase or resell Slab’s proprietary starter assets as standalone products.
5. Third-party components
Slab may include third-party open-source or licensed components subject to their respective notices. Licensor provides attribution where required.
6. Support and SLA
Support scope, channels, and response targets are as described on https://brickspacelab.com or in your order. Unless expressly stated in writing, there is no uptime SLA for Shopify-hosted storefront rendering; Shopify operates hosting.
7. Term and termination
7.1 Term. This Agreement begins when Licensee first obtains Slab and continues until terminated.
7.2 Termination by Licensor. Licensor may suspend or terminate Slab license rights if Licensee materially breaches this Agreement or Shopify terms, fails to pay fees (if applicable), or creates legal or security risk.
7.3 Effect. Upon termination, Licensee must cease use of Slab except as Shopify allows for merchants transitioning themes. Sections intended to survive (ownership, disclaimers, limitation of liability, governing law) survive.
8. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SLAB IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
9.1 Cap. LICENSOR’S TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNTS LICENSEE PAID TO LICENSOR FOR SLAB IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR CAD $100 IF NO FEES APPLIED IN THAT PERIOD.
9.2 Excluded damages. LICENSOR IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA.
10. Export and sanctions
Licensee represents that it is not barred from receiving Slab under export control or sanctions laws. Licensee will comply with applicable export laws.
11. Governing law
This Agreement is governed by the laws of Ontario and Canada, without regard to conflict-of-law principles. Subject to mandatory consumer protections, courts in Toronto, Ontario have jurisdiction.
12. Entire agreement; precedence
This Agreement, together with Licensor’s Terms of service and Refund and cancellation policy where incorporated by reference, is the entire agreement regarding Slab’s license. If the Terms of Service conflict with this Agreement on license scope for Slab, this Agreement controls for Slab-specific licensing topics.
