# Software license — Catalog

**Legal entity:** Brickspace Lab Inc. (“**Brickspace Lab**”, “**Licensor**”)

**Product:** **Catalog** — Brickspace Lab’s preset library, configuration tools, synchronization features, and related services for Shopify merchants (together, “**Catalog**”). Features may include third-party or community presets subject to separate notices.

This Software License Agreement (“**Agreement**”) governs your access to and use of Catalog. By subscribing, installing, connecting Catalog to a store, or using related APIs or developer tools we provide, you (“**Licensee**”) agree to this Agreement.

## 1. License grant

**1.1 Limited subscription license.** Subject to payment and compliance with this Agreement, Licensor grants Licensee a **non-exclusive, non-transferable** license to access and use Catalog **for Licensee’s own Shopify stores and accounts** identified at signup or checkout, in accordance with plan limits (stores, seats, API quotas).

**1.2 Account-based access.** Catalog is licensed **per account/subscription**, not per universe of unrelated third parties. Team members authorized by Licensee may use Catalog solely on Licensee’s behalf.

**1.3 Updates.** Licensor may update Catalog; continued use after notice may constitute acceptance of material changes where permitted by law.

**1.4 APIs and developer tools.** If Licensor provides APIs, CLI tools, or developer sandboxes, Licensee may use them only under this Agreement, our [**Acceptable use policy**](/legal/acceptable-use-policy.md), documented rate limits, and any separate developer terms we publish.

## 2. Third-party and community presets

**2.1 Layers of content.** Catalog may include:

* **Licensor presets** — owned or licensed by Brickspace Lab;
* **Community or third-party presets** — created by independent creators, possibly under separate license terms displayed at download or in-product.

**2.2 Compliance.** Licensee is responsible for reviewing and complying with any third-party license or attribution requirements for presets Licensee installs or distributes into stores.

**2.3 No endorsement.** Presence of a preset in Catalog does not constitute Licensor’s endorsement of the creator’s business or legal compliance of their storefront.

## 3. Restrictions

Licensee must **not**:

* share seats, credentials, or API tokens outside Licensee’s authorized team;
* use Catalog to scrape, bulk-export, or replicate Licensor’s proprietary preset library for competing services;
* reverse engineer or circumvent technical protection of Catalog except where mandatory law permits;
* resell, white-label, or **offer Catalog access as a standalone service** to unrelated merchants **without** a written reseller or partner agreement with Licensor;
* use Catalog in connection with unlawful goods or services, or to violate Shopify’s policies;
* exceed rate limits, abuse APIs, or interfere with other customers’ use;
* misrepresent affiliation with Brickspace Lab or Catalog creators.

## 4. Ownership and IP

**4.1 Licensor IP.** Catalog software, branding, documentation, and Licensor-owned preset assets remain Licensor’s property.

**4.2 Licensee and creator content.** Presets, configurations, or media **created by Licensee** using Catalog’s tools remain Licensee’s, subject to:

* Licensor’s underlying IP in the application (Licensee does not receive ownership of Catalog’s code); and
* any third-party rights in templates or assets Licensee incorporates.

**4.3 Community presets.** Creators may retain copyright in their original preset designs **where** they have not assigned those rights to Licensor; such presets are licensed to end merchants under the terms presented in Catalog or the creator’s license. Licensor may host and distribute such presets as agreed with creators.

**4.4 Feedback.** Licensee grants Licensor a perpetual, royalty-free license to use feedback for improvement without obligation.

## 5. Git sync and integrations

If Catalog includes repository sync or similar features, Licensee authorizes Licensor to access connected repositories **only as configured** by Licensee and as described in our Privacy Policy. Licensee remains responsible for secrets, tokens, and compliance with Git host terms.

## 6. Confidentiality

Non-public documentation, roadmap materials under NDA, or beta features marked confidential must be kept confidential unless publicly released.

## 7. Term, suspension, termination

**7.1 Term.** This Agreement runs for the subscription period purchased.

**7.2 Suspension.** Licensor may suspend access for non-payment, breach, security incidents, or legal process.

**7.3 Effect on termination.** Upon expiry or termination, Licensee’s right to use Catalog ends. Export features (if any) may be available for a limited window as stated in-product or in our [**Refund and cancellation policy**](/legal/refund-cancellation-policy.md). Licensor may delete hosted data after that period subject to law and our Privacy Policy.

## 8. Disclaimers

**TO THE MAXIMUM EXTENT PERMITTED BY LAW**, CATALOG IS PROVIDED **“AS IS”**. LICENSOR DISCLAIMS IMPLIED WARRANTIES INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

## 9. Limitation of liability

**TO THE MAXIMUM EXTENT PERMITTED BY LAW:**

**9.1 Cap.** LICENSOR’S TOTAL LIABILITY WILL NOT EXCEED **THE FEES LICENSEE PAID FOR CATALOG IN THE TWELVE (12) MONTHS BEFORE THE CLAIM**, OR **CAD $100** IF NONE.

**9.2 Excluded damages.** NO LIABILITY FOR INDIRECT, CONSEQUENTIAL, OR LOST PROFITS.

## 10. Governing law

This Agreement is governed by **Ontario and Canadian federal law**. Courts in **Toronto, Ontario** have jurisdiction, subject to non-waivable consumer rights.

## 11. Entire agreement

This Agreement supplements Licensor’s [**Terms of service**](/legal/terms-of-service.md). For Catalog-specific licensing, **this Agreement controls** where expressly stated.
